Terms of Service
Agreement
These Terms of Service ("Terms") are a contract between you and Stephen Traiforos, a United States sole proprietor doing business as File Orbit ("File Orbit," "we," "us"). They govern your use of File Orbit Cloud, including File Orbit login we operate, safety-net storage, app.fileorbit.cloud, billing, and related support.
By creating an account, paying for Cloud products, or using File Orbit Cloud, you agree to these Terms, the Acceptable Use Policy, the Copyright notice, and the Refunds policy, each linked from fileorbit.cloud.
As File Orbit grows, we plan to operate through an S corporation. When that happens, we will update these Terms with the new entity name.
Cloud vs self-host
The File Orbit application and related software are available under open source licenses (including AGPL for the application). Running the software on hardware you control is not a sale of a proprietary license under these Terms.
File Orbit Cloud is a hosted service: we operate sign-in and ownership records for File Orbit login customers, and we may store optional safety-net copies on infrastructure we run. These Terms apply to that hosted service and paid offerings, not to your right to run the open source program at home.
Eligibility
You must be at least 18 years old to hold a File Orbit Cloud account. You are responsible for people you invite and for content stored under your account.
Accounts and identity
You may use File Orbit login (operated by us) or your existing login (Bluesky, Tangled, or another AT Protocol host). When you use your existing login, that provider's terms still apply, and we have less ability to shield you from upstream account or policy risk.
Keep credentials secure. You are responsible for activity under your account.
Paid products
Catalog (prices may change with notice on the site or Checkout):
- File Orbit Once: one-time payment for File Orbit login and operated metadata (no monthly bill for that by-product alone).
- Base membership: subscription that includes File Orbit login plus included safety-net storage (currently 25 GB).
- Prepaid storage packs: fixed gigabytes of extra safety-net capacity, paid before quota rises. Not open-ended postpaid overage.
- Payment is processed by Stripe. Paying on Checkout means you agree to these Terms. Quotas and capabilities follow payment and entitlement rules enforced by our systems.
Cancellation and lapse
Base membership and pack subscriptions cancel at period end through the Stripe Customer Portal when that mode is enabled. Capacity stays through the paid period; it shrinks when the paid period ends.
Failed Base payment may enter a short grace period before lapse. Packs do not get post-period grace. After lapse, Cloud capabilities that require payment may stop while home copies on your disks remain yours.
Service level
File Orbit Cloud is offered as-is during open alpha and early production. We publish operational status at status.fileorbit.cloud. We do not promise a contractual uptime SLA beyond that status page and our reasonable efforts.
Your content
You retain ownership of files you store. You grant us a limited license to host, replicate, and process content as needed to provide File Orbit Cloud features you use (including safety-net copies and sharing you configure).
You must have the rights to store and share the content you upload. The Acceptable Use and Copyright pages apply.
Acceptable use and enforcement
You must follow the Acceptable Use Policy. We may suspend or terminate Cloud access for violations, legal risk, non-payment, or abuse of the service or mesh APIs.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILE ORBIT CLOUD IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that Cloud will be uninterrupted or error-free, or that home disks or peer Places will remain available.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILE ORBIT AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL.
OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF FILE ORBIT CLOUD WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR CLOUD SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM (OR ONE HUNDRED US DOLLARS IF YOU HAVE PAID NOTHING).
Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent allowed.
Indemnity
You will defend and indemnify File Orbit against claims arising from your content, your invitees' use, or your breach of these Terms, to the extent permitted by law.
Governing law
These Terms are governed by the laws of the United States and the state of the operator's principal place of business, without regard to conflict-of-law rules. Courts in that state have exclusive venue, except where consumer law requires otherwise.
Changes
We may update these Terms. Continued use of File Orbit Cloud after the effective date means you accept the updated Terms. If you disagree, stop using Cloud products and cancel paid subscriptions.
